The CoSign team is pleased to offer this free site which was designed to further accelerate our customers' signing processes by ensuring that their digital signatures can be validated across their entire ecosystem, anytime anywhere and on any computer or mobile device.


By adding their unique root certificates to CoSign Nation, our customers can ensure that their digital signatures can be verified by anyone and that this verification will be based on the same certificate management policies they use internally.


Although CoSign digital signatures comply with international standards and are generally verifiable without any additional software, CoSign Nation provides the free CoSign Verifier application. This unique app makes it even easier for recipients to verify CoSign digital signatures, including signer identity, signer intent and document integrity, on PDF files, Word files, Excel spreadsheets, and many other document types and formats.

CoSign Nation does not provide a signature creation or certificate-management facility of any kind; only the issuers themselves do that.

Root certificates are uploaded to CoSign Nation only by ARX personnel and only after verifying the identity of the root certificate holder.

COSIGN NATION EXCHANGE
CERTIFICATE RECIPIENT AGREEMENT

YOU MUST READ AND ACCEPT THIS CERTIFICATE RECIPIENT AGREEMENT ("AGREEMENT") BEFORE ENTERING THE COSIGN NATION EXCHANGE OF THIRD PARTY CERTIFICATES. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT PROCEED FURTHER TO THE EXCHANGE. YOUR ACCESS OF THE COSIGN NATION EXCHANGE, DOWNLOADING THE COSIGN VERIFIER, OR YOUR USE OF A CERTIFICATE OBTAINED FROM THIS EXCHANGE CONSTITUTES YOUR ACCEPTANCE OF THE TERMS OF THIS AGREEMENT

THIS AGREEMENT IS BETWEEN ARX, INC., INCLUDING ITS CORPORATE AFFILIATES (“ARX”) AND THE PARTY USING A CERTIFICATE OBTAINED FROM THIS EXCHANGE (THE “USER”).

  1. Term of Agreement. This Agreement becomes effective when the User enters the CoSign Nation Exchange, and shall remain in effect for so long as the User continues to rely on any third party certificate obtained from the CoSign Nation Exchange (the “Certificate” or Certificates”).
  2. Limited License. All Certificates remain the property of their issuers. User shall have a limited, personal, non-transferable, license to use the Certificate solely for verifying digital signatures authorized by its issuer. User is strictly prohibited from publishing, transferring or otherwise allowing access to these Certificates by anyone other than the User and its authorized employees.
  3. User’s Obligations. THE USER IS SOLELY RESPONSIBLE FOR DECIDING WHETHER OR NOT TO RELY ON A CERTIFICATE FOR ANY PURPOSE WHATSOEVER. The User acknowledges and agrees that User may obtain sufficient information to make an informed decision as to the extent it chooses to rely on a Certificate. Without limiting the scope of the foregoing, the User is responsible for (i) assessing whether the use of a Certificate for any given purpose is appropriate under the circumstances; (ii) utilizing the appropriate software and/or hardware to perform digital signature verification; and (iii) checking the status of a Certificate, as well as the validity of all the Certificates in its chain, if any. YOU ARE HEREBY NOTIFIED OF THE POSSIBILITY OF THEFT OR OTHER FORM OF COMPROMISE OF A PRIVATE KEY CORRESPONDING TO A PUBLIC KEY CONTAINED IN A CERTIFICATE, WHICH MAY OR MAY NOT BE DETECTED, AND OF THE POSSIBILITY OF USE OF A STOLEN OR COMPROMISED KEY TO FORGE A DIGITAL SIGNATURE.
  4. Acceptance of Certificates For The CoSign Nation Exchange. Certificates posted on the CoSign Nation Exchange will be retrieved by ARX from the issuer’s CoSign system when authorized by the issuer, either at the time of installation or when subsequently requested by the issuer’s designated customer contact.
  5. ARX Limited Warranty. ARX warrants to Certificate Recipients who reasonably rely on a Certificate that the Certificate was obtained and posted to the CoSign Nation Exchange in substantial compliance with ARX’s procedure described in Section 4 (“Acceptance of Certificates For The CoSign Nation Exchange”).
  6. Disclaimer of Warranties. EXCEPT FOR THE EXPRESS LIMITED WARRANTY CONTAINED IN SECTION 4, ARX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF A COURSE OF PERFORMANCE, DEALING OR TRADE USAGE.
  7. User’s Material Breach. In the event of User’s material breach of this Agreement, including unauthorized use of a Certificate, User’s limited license to use of the Certificates shall be automatically revoked.
  8. Indemnity. User agrees to indemnify, defend and hold ARX harmless from any and all claims, suits, proceedings, judgments, damages, and costs (including reasonable attorney's fees and expenses) arising from (i) User’s failure to perform its obligations in accordance with this Agreement, (ii) User’s reliance on a Certificate that is not reasonable under the circumstances, (iii) User’s failure to check the status of a Certificate to determine if the Certificate is expired or revoked, or (iv) User’s breach of this Agreement.
  9. Limitations of Liability. ARX’s liability to User, whether under contract (including breach of warranty), tort (including negligence or strict liability), by statute, or any other legal or equitable form of claim shall not exceed $100 per certificate, regardless of the number of digital signatures, transactions or claims related to such certificate. ARX SHALL HAVE NO LIABILITY T FOR CONSEQUENTIAL, EXEMPLARY, SPECIAL OR INCIDENTAL DAMAGES RESULTING FROM ANY DEFECT IN THE PRODUCT OR ITS DOCUMENTATION INCLUDING DAMAGES FROM LOSS OF DATA, DOWNTIME, GOODWILL, DAMAGE TO OR REPLACEMENT OF EQUIPMENT OR PROPERTY, AND ANY COSTS OF RECOVERING, REPROGRAMMING, OR REPRODUCING ANY PROGRAM OR DATA USED WITH ARX'S PRODUCTS, EVEN IF ARX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  10. Severability. If any provision of this Agreement should be found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions contained shall not, in any way, be affected or impaired thereby.
  11. Governing Law And Jurisdiction. This Agreement and any disputes relating to the services provided hereunder shall be governed and interpreted according to the laws of the State of California without regard to any principles of conflict of laws that might otherwise apply any law of a differing jurisdiction. All legal actions related to or arising out of this Agreement shall be conducted exclusively by the Federal or State Courts of California having jurisdiction over disputes arising in San Francisco, California.
  12. Non-Assignment. User’s rights under this Agreement are not assignable or transferable.
  13. Notices. All notices, demands or requests by User shall be directed to the "Contact" address listed on the CoSign Nation Exchange website.
  14. Survival. Sections 8 (“Indemnity”), 9 (“Limitations of Liability”) and 11 (“Governing Law and Jurisdiction”) shall survive termination of this Agreement.
  15. Entire Agreement. This Agreement constitutes the entire understanding and agreement between ARX and the User with respect to Certificates obtained from the CoSign Nation Exchange, and supersedes any and all prior or contemporaneous oral or written representation, understanding, agreement or communication relating thereto.
